1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of Toolie (the "Service"), operated from Canada. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

2. Who we are

Toolie is a peer-to-peer marketplace that allows individuals ("Owners") to rent tools and equipment to other individuals ("Renters"). Toolie acts as a marketplace facilitator and is not a party to the rental contract between Owners and Renters, except for the limited purposes of payment processing, fee collection, and dispute mediation as described herein.

3. Eligibility

  • You must be at least 18 years old.
  • You must reside in Canada.
  • You must provide accurate, current, and complete information.
  • You may not use the Service if you have been previously banned.

4. Your account

You are responsible for safeguarding your password and for any activity that occurs under your account. Notify us immediately of any unauthorized use.

5. Listings (Owners)

By listing a tool, you represent and warrant that:

  • You own the tool or have the right to rent it out.
  • The tool is in safe and working condition.
  • The listing description, photos, and pricing are accurate and not misleading.
  • You will comply with all applicable laws (including consumer-protection law).
  • You have completed Stripe Connect onboarding and accepted the Owner Payout Terms before accepting any reservations.

Toolie reserves the right to remove listings that violate these Terms or applicable law.

6. Reservations and rentals (Renters)

  • Submitting a reservation request is an offer to rent the listed tool subject to Owner approval.
  • You agree to use the tool safely, only for its intended purpose, and to return it in the same condition in which you received it (subject to ordinary wear and tear).
  • You are responsible for damage to or loss of the tool while it is in your possession, up to the security deposit amount disclosed at booking. Damage exceeding the security deposit may be claimed through the dispute process and is your responsibility to pay.

7. Fees and payment

Toolie charges a service fee (currently 12 %) to Renters and a commission (currently 12 %) deducted from Owner payouts. Applicable taxes (GST/HST/QST) are added at checkout and remitted by Toolie on behalf of Owners.

Payments are processed by Stripe. By using the Service, you agree to be bound by the Stripe Services Agreement.

8. Security deposits

At booking, Toolie places an authorization hold on the Renter's payment method for the listed security-deposit amount. The hold is released within 48 hours after the tool is returned, unless an Owner files a dispute within that window. See the Cancellation Policy for refund details.

9. Cancellations

Cancellations are governed by our Cancellation Policy, which forms part of these Terms.

10. Disputes

If a dispute arises between an Owner and a Renter (for example, regarding damage or late return), it must be filed through the in-app dispute process within 48 hours of the scheduled return time. Toolie will mediate disputes in good faith but is not obligated to resolve them in either party's favour. Toolie's decision regarding the release or capture of the security deposit is final.

11. Prohibited conduct

You agree not to:

  • List or rent tools that are unsafe, illegal, or that you do not own.
  • Misrepresent your identity, location, or contact details.
  • Circumvent the Service to transact off-platform.
  • Harass, threaten, or discriminate against other users.
  • Reverse-engineer, scrape, or otherwise abuse the Service.

12. Limitation of liability

To the maximum extent permitted by law, Toolie is not liable for indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service. Toolie's aggregate liability is limited to the greater of (a) fees paid by you to Toolie in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

13. Indemnification

You agree to indemnify and hold harmless Toolie, its affiliates, officers, and employees from any claim arising out of (a) your use of the Service, (b) your breach of these Terms, or (c) your violation of any third-party right or applicable law.

14. Termination

We may suspend or terminate your access to the Service at our discretion, including for breach of these Terms. You may close your account at any time via account settings.

15. Governing law and venue

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any dispute will be resolved in the courts of the Province of Quebec.

16. Changes to these Terms

We may update these Terms from time to time. When the substance of these Terms changes materially, we will require you to re-accept them at next sign-in.
